The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced on Nov. 14, 2023, and Nov. 27, 2023.

Number of shares:  12,522,540 shares

Purchase price:  five cents per share

Warrants:  12,522,540 share purchase warrants to purchase 12,522,540 shares

Warrant exercise price:  10 cents for a two-year period

Number of placees:  25 placees

Total existing insider involvement:  three million (four insiders)

Total pro group involvement:  500,000 (two pro groups)

Finder's fee:  $9,750

The company issued a news release on Nov. 28, 2023, confirming the closing of the private placement. Note that in certain circumstances the exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.
