The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced on April 4, 2023.

Number of units:  12.5 million units

Purchase price:  six cents per unit

Warrant:  6.25 million share purchase warrants to purchase 6.25 million shares

Warrant purchase price:  eight cents for one year from the date of issuance

Number of placees:  35 placees

Total existing insider involvement:  1.5 million (four insiders)

Total existing pro group involvement:  500,000 (two pro groups)

Finder's fee:  $23,898.4 cash and 356,640 warrants

Finder's warrant terms:  Each warrant entitles the holder to purchase one common share at the price of eight cents for a period of one year from the date of issuance.
