ROUTE 109 APPOINTS IRWIN AS DIRECTOR
Route 109 Resources Inc. has appointed Chris Irwin to the company's board of directors.
Mr. Irwin practises securities and corporate/commercial law, and has been the managing partner of Irwin Lowy LLP since January, 2010. Prior thereto, he was the president of Irwin Professional Corp. from August, 2006, to December, 2009, and prior thereto, he was an associate at Wildeboer Dellelce LLP from January, 2004, to July, 2006. Mr. Irwin advises a number of public companies, board of directors and independent committees on a variety of issues. Mr. Irwin is a director and/or officer of a number of public companies.
With the addition of Mr. Irwin to the company's board of directors, the company is again compliant with the requirements under TSX Venture Exchange Policy 3.1 that a listed issuer have at least three directors, two of whom are independent. Following Mr. Irwin's appointment, the company's board of directors is now composed of Mr. Irwin, Wanda Cutler and Verlee Webb, all three of whom are independent within the meaning under exchange policies and applicable securities laws and are members of the audit committee. The company's common shares will resume trading on the exchange under the symbol RTE at market open shortly.
The company has not yet appointed a new chief executive officer to replace Robert Pryde following his resignation, and is deficient of the requirement that each issuer is required to have a CEO under exchange Policy 3.1. The board of directors is continuing its search for a new CEO and intends to fill the position shortly. The company will provide updates on any material developments in accordance with applicable securities laws.
