RECHARGE RESOURCES ANNOUNCES EFFECTIVE DATE OF SHARE CONSOLIDATION

Further to Recharge Resources Ltd.'s news releases of Jan. 9, 2025, and Jan. 23, 2025, and effective Jan. 31, 2025, the company will consolidate the common shares in the capital of the company on the basis of one postconsolidation common share for every two preconsolidation common shares.

The name of the company and the trading symbol will remain the same after the consolidation. The new Cusip number will be 756230405 and the new ISIN (international securities identification number) will be CA7562304054 for the postconsolidation common shares.

The company's postconsolidation common shares are expected to begin trading on the Canadian Securities Exchange on or about Jan. 31, 2025. The issued and outstanding number of common shares after the consolidation will be approximately 25,428,720.

Letters of transmittal with respect to the consolidation will be mailed to all registered shareholders of the company. All registered shareholders will be required to send their respective certificates representing the preconsolidation common shares, along with a properly executed letter of transmittal to the company's transfer agent, Endeavor Trust Corp., in accordance with the instructions provided in the letter of transmittal. All shareholders who submit a duly completed letter of transmittal, along with their respective preconsolidation common share certificate(s), to Endeavor, will receive a postconsolidation common share certificate or direct registration advice representing the postconsolidation common shares.
