The TSX Venture Exchange has accepted for filing documentation with respect to an arm's-length asset purchase agreement between Canstar Resources Inc. and an arm's-length party: 1478078 B.C. Ltd. (the vendor), doing business as Lithological Opportunities. Pursuant to the agreement, the company has acquired a 100-per-cent undivided interest in three exploration permits (approximately 31,000 hectares) in the northern Skelleftea district of Sweden.

Concurrent to the agreement, the company, through the vendor acting on its behalf, has applied for approximately 37,000 hectares of additional exploration permit applications in the northern Skelleftea district immediately adjacent to and around the property. The company will reimburse the vendor staking costs of $110,000 in respect of the additional claims.

As consideration for the acquisition to the vendor, the company (i) issued an aggregate of 15 million common shares; and (ii) will pay an aggregate of $150,000 in cash within a one-year period.

The property is subject to a 2.5-per-cent net smelter return royalty and the additional claims are subject to a 1.25-per-cent net smelter return royalty in favour of the vendor, subject to buyback rights.
