The TSX Venture Exchange has accepted for filing documentation pertaining to a draft earn-in agreement, dated Feb. 4, 2026, between the company and VMS Mining Corp. (the JV partner), whereby the company and JV partner will form a joint venture (the JV) for the exploration and development of the Buchans and Mary March projects in Newfoundland.

Under the terms of the agreement, the JV partner has a right to acquire up to 65 per cent of the JV in exchange for: (i) a cash advance of $1.5-million for a 10-per-cent interest in JV; (ii) payment of additional $500,000 for a further 5-per-cent interest; (iii) commitment to the JV another $4-million for additional 30 per cent (up to 45-per-cent interest in total); and (iv) commitment of additional $6-million for additional 20-per-cent interest (up to 65-per-cent interest in total).
