Subject: Early warning news release PDF Document File: Attachment Early Warning Press Release 2023 12 22 Klaus Eckhof.pdf Klaus Eckhof 4 avenue des Guelfes Monaco 98000 Monaco December 22, 2023 NEWS RELEASE Pursuant to: National Instrument 62-103 Klaus Eckhof ("Mr. Eckhof") announces that on December 19, 2023, he acquired ownership of an additional 10,000,000 common shares (the "Shares") of Rome Resources Ltd. ("Rome Resources") at a deemed price of $0.25 per Share pursuant to the exercise, by Rome Resources, of the second option in a property option agreement for an aggregate deemed consideration of $2,500,000. Prior to the issuance of the Shares, Mr. Eckhof had ownership and control, directly and indirectly, of 13,425,000 common shares and 500,000 share purchase warrants of Rome Resources, representing approximately 14.9% of the then issued and outstanding common shares of Rome Resources on a non-diluted basis and 15.3% when assuming exercise of all share purchase warrants held by Mr. Eckhof. The acquisition of the Shares by Mr. Eckhof gives him ownership and control, directly and indirectly, of a total 23,425,000 common shares of Rome Resources, an increase of approximately 4.6%, for a total of approximately 19.5% of the issued and outstanding common shares of Rome Resources on a non-diluted basis and 19.8% when assuming exercise of all share purchase warrants held by Mr. Eckhof. Mr. Eckhof's acquisition was made for investment purposes. Mr. Eckhof may in the future wish to increase or decrease his shareholdings in Rome Resources as circumstances warrant. Such circumstances may include but are not limited to compliance with applicable securities laws, general market and economic conditions, business prospects of Rome Resources and investment and business opportunities available to Mr. Eckhof.
