The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced on Oct. 30, 2023.

Number of shares:  3.6 million shares

Purchase price:  20 cents per share

Warrants:  3.6 million share purchase warrants to purchase 3.6 million shares

Warrant exercise price:  25 cents for a two-year period

Number of placees:  six placees

Total existing insider involvement:  three million (four insiders)

The company issued a news release on Nov. 17, 2023, confirming the closing of the private placement. Note that in certain circumstances the exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.
