ROME RESOURCES ANNOUNCES PRIVATE PLACEMENT OFFERING OF UP TO $2,000,000 AND DEBT SETTLEMENT

Further to obtaining confidential price protection from the TSX Venture Exchange on Oct. 2, 2023, Rome Resources Ltd. is conducting a non-brokered private placement offering of up to 10 million units in the capital of the company at a price of 20 cents per unit for gross proceeds of up to $2-million. Each unit is comprised of one common share and one share purchase warrant, where each warrant entitles the holder to purchase one additional common share at a price of $0.25 per share for two years. The Company intends to use the net proceeds from the Offering to fund exploration activities at the Bisie North Tin Project, corporate costs and for working capital. The securities issued pursuant to the Offering will be subject to a four-month statutory hold period.

One or more insiders of the Company will participate in the Offering. The Company will rely on an exemption from the related party requirements of MI 61-101 for the participation by insiders of the Company in the Offering. Any securities issued to insiders of the Company will also be subject to the TSX Venture Exchange four-month hold period.

The private placement is subject to acceptance for filing by the TSX Venture Exchange.

Debt Settlement

The Company also announces that it has issued 485,000 common shares in its capital to settle $99,425 in debt, which shares are restricted from trading until February 28, 2024. The debt settlement transaction has been accepted for filing by the TSX Venture Exchange.
