ROME RESOURCES ANNOUNCES PRIVATE PLACEMENT OFFERING OF UP TO $1,100,000

Rome Resources Ltd. has arranged a non-brokered private placement offering of up to 4.4 million units in the capital of the company at a price of 25 cents per unit for gross proceeds of up to $1.1-million. Each unit comprises one common share and one-half of one share purchase warrant, where each whole warrant entitles the holder to purchase one additional common share at a price of 30 cents per share for two years. The company intends to use the net proceeds from the offering to finance exploration activities at the Bisie North tin project, corporate costs and for working capital. The securities issued pursuant to the offering will be subject to a four-month statutory hold period.

One or more insiders of the company may participate in the offering. If so, then the company will rely on an exemption from the related party requirements of MI 61-101 for any participation by insiders of the company in the offering. Any securities issued to insiders of the company will also be subject to the TSX Venture Exchange four-month hold period.

The private placement is subject to acceptance for filing by the TSX-V.
