--->f Rainy Mountain Royalty Corp. (the "Company") at a price of $0.09 per Share, for total consideration of $54,000, purs
--->uant to the exercise of a previously granted stock option.

At present, the Offeror owns an aggregate of 2,318,875 common shares of the Company, or approximately 18.07% of the ou
--->tstanding common shares of the Company.  The Offeror also holds warrants for the purchase of an additional 1,300,000 c
--->ommon shares of the Company and stock options for the purchase of an additional 193,500 common shares of the Company. 
---> Upon the exercise of these warrants and stock options in full, the Offeror would own a total of 3,812,375 common shar
--->es of the Company, or approximately 26.61% of the Company's then issued and outstanding share capital, assuming no oth
