DELAY IN FILING AUDITED ANNUAL FINANCIAL STATEMENTS
Regenera Insights Inc. has not filed its audited annual financial statements, management's
discussion and analysis, and related certifications for the fiscal year ended Dec. 31, 2025, on time, as required by securities law, due to delays in finalizing the audit, and
has not restated the financial statements, management's discussion and analysis, and related certifications
for the quarter periods ended June 30, 2025, and Sept. 30, 2025.
Accordingly, Regenera has requested, and intends to apply for, the issuance of a management cease
trade order today under the provisions of National Policy 12-203 (Management Cease Trade Orders) so as to permit the continued trading in Regenera's common shares by persons other than
insiders and employees of Regenera.
Regenera's staff and accounting firm are working diligently with its auditor, and Regenera expects to have
the audit of the issuer statements completed, and the issuer statements and the restated statements
filed, no later than May 8, 2026.
Regenera also confirms that, if required, it intends to satisfy the provisions of NP 12-203 and issue biweekly default status reports for so long as Regenera remains in default of the financial statement filing
requirement, containing any material changes to the information in this release, all actions taken by
Regenera to remedy the default, particulars of any failure by Regenera to fulfill these provisions, any
subsequent defaults of Regenera requiring a default announcement and any other material information
concerning the affairs of Regenera not previously disclosed. Regenera is not subject to any insolvency
proceedings nor is there other material information concerning the affairs of Regenera that has not
been generally disclosed.
