The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced on Sept. 18, 2023.

Number of shares:  5,975,033 non-flow-through common shares; 4,266,699 flow-through common shares

Purchase price:  three cents per non-flow-through common share; three cents per flow-through common share

Warrants:  8,108,382 share purchase warrants to purchase 8,108,382 common shares

Warrant exercise price:  five cents per share until Oct. 27, 2025

Number of placees:  nine placees

Total existing insider involvement:  2,674,999 (five placees)

Finder's fee:  $3,500 cash and 116,669 warrants

Finder's warrant terms:  Each warrant entitles the holder to purchase one common share at the price of five cents until Oct. 27, 2025.

The company issued a news release on Oct. 30, 2023, confirming the closing of the private placement. Note that in certain circumstances the exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.
