Rock Tech Announces Private Placement

Vancouver, BC, Canada - April 24, 2014 - Rock Tech Lithium Inc. (the "Company") (TSX-V: RCK) is planning a non-brokere
--->d private placement of up to 750,000 Units of the Company for gross proceeds of up to $150,000 (the "Offering").  Each
---> Unit will be priced at $0.20 and consist of one common share of the Company and one share purchase warrant.  Each war
--->rant will entitle the holder to purchase an additional common share of the Company at a price of $0.20 per share on or
---> before December 31, 2017.

A finder's fee equal to 5% of the aggregate gross proceeds, payable in Common Shares of the Company, will compensate f
--->inders appointed by the Company to source subscriptions.  The closing of the private placement is subject to regulator
--->y approval including that of the TSX Venture Exchange.  All securities issued will be subject to a four month hold per

The proceeds of the private placement will be used to assist the Company in completing the acquisition of Brainworks C
--->apital Management (Private) Limited, as previously announced on July 21 and November 28, 2013.
