STINGRAY ANNOUNCES COMPLETION OF TUNEIN ACQUISITION
Stingray Group Inc. has closed its previously announced acquisition of TuneIn Holdings Inc. after all conditions precedent to closing the transaction have been satisfied.

Total consideration for the transaction is up to $175-million (U.S.) in cash, consisting of $150-million (U.S.) paid at closing and up to an additional $25-million (U.S.) payable 12 months following the closing. The transaction was financed through a $150-million (U.S.) term loan under the company's renewed credit facility.
Stingray was advised by National Bank Capital Markets as financial adviser and Davies Ward Phillips & Vineberg LLP as legal counsel. Houlihan Lokey Capital Inc. acted as financial adviser to TuneIn and Skadden, Arps, Slate, Meagher & Flom LLP acted as TuneIn's legal counsel.
