The TSX Venture Exchange has accepted for filing documentation with respect to a brokered private placement announced on May 23, 2023, and June 27, 2023.

Number of shares:  13,333,333 common shares

Purchase price:  15 cents per common share

Number of placees:  37 placees

Finder's fee:  800,000 shares and 600,616 warrants

Finder's warrant terms:  Each finder's warrant (non-transferable) entitles the holder to purchase one common share at the price of 20 cents for a period of three years from the date of issuance.

The company issued a news release on July 11, 2023, confirming the closing of the private placement.
