RESOURO ANNOUNCES INCREASE IN OFFERING SIZE OF BROKERED PRIVATE PLACEMENT

Resouro Gold Inc. has increased the size of its brokered private placement of common shares of the company at a purchase price of 15 cents per share as previously announced on May 23, 2023, such that the company now intends to issue 13,333,333 shares for aggregate gross proceeds of up to $2-million.

The net proceeds from the offering will be used to advance exploration on the company's Tiros titanium/rare-earth-element project and Novo Mundo gold project in Brazil and for general working capital purposes.

Closing of the offering is expected to occur shortly and is subject to certain customary conditions, including, but not limited to, the receipt of all necessary approvals, including the approval of the TSX Venture Exchange.
