RESOURO ANNOUNCES BROKERED PRIVATE PLACEMENT FOR GROSS PROCEEDS OF UP TO $1.25 MILLION

Resouro Gold Inc. has entered into an agreement with Taylor Collison Ltd. (based in Sydney, Australia) to act as a sole agent and bookrunner in connection with a best-effort private placement for gross proceeds of up to $1.25-million from the sale of up to 8,333,333 shares at a price of 15 cents per share.

The net proceeds from the private placement will be used to advance exploration on the company's Tiros titanium/rare earth element project and the Novo Mundo gold project in Brazil and for general working capital purposes.

In accordance with applicable Canadian securities laws, all securities issued pursuant to the private placement will be legended with a hold period of four months and one day from the date of issuance. Completion of the private placement remains subject to the receipt of all necessary regulatory approvals, including approval of the TSX Venture Exchange.
