RAIN CITY SETTLES OUTSTANDING DEBT

Rain City Resources Inc. has closed its previously announced debt settlements (see press release dated April 12, 2024).

The company settled outstanding indebtedness of $136,175 in exchange for an aggregate of 2,723,500 common shares of the company at a price of five cents per common share. This debt settlement included outstanding indebtedness of $59,625 owing to related parties.

The company has issued the final anniversary payment under its Bro property purchase agreement, issuing 10 million common shares at a price of 10 cents per share to 1459988 B.C. Ltd.

The securities are subject to a four-month-and-one-day hold from the date of issuance. In addition, the debt settlement and property issuances are subject to the approval of the Canadian Securities Exchange.
