The TSX Venture Exchange has accepted for filing a credit facility agreement dated Sept. 29, 2011, representing a principal amount of up to $10-million, between Rambler Metals & Mining PLC and Sprott Resource Lending Partnership, whereby the full amount is available for the company for drawdown. The principal amount of the loan will bear interest at 9.25 per cent per annum, compounded monthly, and will mature on March 29, 2013.

Additionally, the exchange has accepted the issuance bonus shares with a deemed value of $700,000 (up to 2.75 million bonus shares) to be issued to the lender in connection with the transaction. The company will also pay the lender a structuring fee of $100,000 and a prepayment fee of $50,000 for the lender's legal counsel.
