The Private Placement was priced at $0.05 per Unit. Each unit consists of one common share and � share purchase warrant exercisable for 18 months at a strike price of $0.10. There were a total of seven Placees. Insider CEO Russ Rossi subscribed to 1,313,000 units (Blueskyview Software Corp. - 1,197,000; Russ Rossi - 116,000) Shares and warrants issued as a result of this Private Placement will be subject to a four month hold period expiring March 27th, 2015.
