The TSX Venture Exchange has accepted for filing documentation in connection with an arrangement agreement dated Sept. 22, 2025, between 2745122 Alberta Inc. and Quorum Information Technologies Inc. under the provisions of the Business Corporations Act (Alberta).

Pursuant to the plan of arrangement, shareholders of the company received a cash payment of 80 cents per share for each common share of the company held.

The exchange has been advised that approval of the plan of arrangement by the company's shareholders was received at a special meeting of shareholders held on Nov. 26, 2025, and that the final court order approving the plan of arrangement was received from the Court of King's Bench of Alberta on Dec. 2, 2025. The plan of arrangement was completed on Dec. 10, 2025.

Delisting

In connection with the completion of the plan of arrangement, the company will be delisted from the exchange. Accordingly, effective at the close of business, Thursday, Dec. 18, 2025, the common shares of the company will be delisted at the request of the company.
