QUORUM INFORMATION TECHNOLOGIES ANNOUNCES CLOSING OF ARRANGEMENT

Quorum Information Technologies Inc. has closed the previously announced statutory plan of arrangement under the Business Corporations Act (Alberta), pursuant to which 2745122 Alberta Inc. (the purchaser), an affiliate of Valsoft Corporation Inc., has acquired all of the issued and outstanding common shares of Quorum at the purchase price of 80 cents per share in cash. The arrangement is described in further detail in the management information circular dated Oct. 22, 2025, which is available on SEDAR+ under Quorum's issuer profile.

Delisting

The company expects to delist its common shares from the TSX Venture Exchange on or about Dec. 10, 2025. An application for the delisting was submitted to the TSX-V on Nov. 26, 2025, and the delisting is subject to the final approval of the TSX-V. The company will also apply to the Canadian securities regulators for the company to cease to be a reporting issuer in the applicable jurisdictions.
