Effective at the close of business on Tuesday, Sept. 1, 2026, the common shares of QCX Gold Corp. will be delisted from the TSX Venture Exchange. The delisting of QCX shares results from the completion of a court-approved plan of arrangement under the provisions of the Business Corporations Act (British Columbia), pursuant to an arrangement agreement dated June 1, 2026, between Sterling Metals Corp. and QCX. Pursuant to the arrangement agreement, the purchaser acquired all of the issued and outstanding securities of QCX.
Under the terms of the arrangement, each QCX shareholder received one common share of the purchaser for every 4.81026 common shares of QCX held, representing an exchange ratio of 0.20789. The exchange has been advised that approval of the arrangement by QCX shareholders was received at a annual general and special meeting of shareholders held on Aug. 18, 2026, and that a final order approving the arrangement was issued by the Supreme Court of British Columbia on Aug. 20, 2026. The arrangement became effective on Aug. 31, 2026.
