The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced on Aug. 8, 2023.

Number of shares:  (1) 6.2 million flow-through shares; (2) 3.6 million non-flow-through shares

Purchase price:(  1) five cents per share; (2) five cents per share

Warrants:  (1) 3.1 million share purchase warrants to purchase 3.1 million shares; (2) 3.6 million share purchase warrants to purchase 3.6 million shares

Warrant exercise price:  (1) 10 cents for a two-year period; (2) 10 cents for a two-year period

Number of placees:  13 placees

Total existing insider involvement:  2.6 million (one insider)

Finder's fee:  $7,000 cash, 532,000 shares and 1,064,000 warrants

Finder's warrant terms:  Each warrant entitles the holder to purchase one common share at the price of five cents for period of two years from the date of issuance.

The company issued a news release on Aug. 29, 2023, confirming closing of the private placement. Note that in certain circumstances the exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.
