Global Power Solutions Corp. Announces Amendment to Private Placement Terms

Vancouver, BC, Canada - Monday, June 8, 2026 - Global Power Solutions Corp. (TSX Venture Exchange: PWER; Frankfurt Stock Exchanges: NJA) ("Global Power" or the "Company") announces that further to its news release dated April 21, 2026, the Company has amended the terms of its previously announced non-brokered private placement financing (the "Private Placement") for gross proceeds of up to $1,000,000.

Under the amended terms for the Private Placement, the Company will offer up to 5,000,000 units (the "Units") of the Company at a price of $0.20 per Unit for gross proceeds of up to $1,000,000.

Each Unit is comprised of one common share and one common share purchase warrant (each whole warrant, a "Warrant"). Each Warrant shall entitle the holder to purchase one common share of the Company at a price of $0.30 at any time on or before the date which is 24 months from the date of closing of the Private Placement.

The proceeds will be used for working capital and business development purposes.

The Private Placement is subject to TSX Venture Exchange approval and all securities issued will be subject to a four-month hold period.
