GLOBAL POWER SOLUTIONS IMPLEMENTS NEW OMNIBUS EQUITY INCENTIVE PLAN

Global Power Solutions Corp.'s board of directors has approved a new omnibus equity incentive plan, which is intended to replace the company's current stock option plan last approved by shareholders at the annual general meeting held on March 25, 2025.

The new plan is an equity incentive plan (rolling up to 10 per cent and fixed up to 10 per cent), as such term is defined in TSX Venture Exchange corporate finance manual Policy 4.4, Security Based Compensation. The new plan allows the company to issue up to a maximum of 10 per cent of the issued and outstanding common shares of the company in stock options and up to an aggregate of 2,431,697 common shares issuable pursuant to performance share units, deferred share units, restricted share units and other share-based awards, which number represents a fixed maximum under the new plan, to directors, officers, employees and consultants of the company.

At the next annual general meeting of shareholders on April 7, 2026, the company will ask shareholders to ratify and confirm the adoption of the new plan, in accordance with exchange requirements. The exchange has conditionally approved the new plan; however, it remains subject to final approval.
