PLANTIFY FOODS ANNOUNCES $500,000 PRIVATE PLACEMENT

Plantify Foods Inc. has arranged a non-brokered private placement offering of up to 50 million common shares of the company at a price of one cent per common share for gross proceeds of up to $500,000.

The net proceeds from the offering will be used for general working capital and toward the fees and costs associated with the company's planned listing on Nasdaq Stock Market LLC. Investors are cautioned that a listing application has not yet been submitted and there is no assurance that, once submitted, the application will be accepted. Finders' fees may be payable in respect of some subscriptions.

The closing of the offering is expected to occur in mid-April and is subject to the approval of the TSX Venture Exchange. All securities issued under the offering will be subject to a four-month hold period.
