The TSX Venture Exchange has accepted for filing documentation the assignment, novation and assumption agreement dated Aug. 27, 2026, among the company, PCC Digital ULC, Bennu Holdings LLC and a group of arm's-length lenders.

Pursuant to the terms of the assignment agreement, the company has acquired all of the assignors' rights, interests and obligations under the power generation development and co-operation agreement made effective July 16, 2026, among the assignors, PCC and Bennu. In consideration for the assignment agreement, the company has issued to the assignors an aggregate three million common shares of the company at a deemed price of 19 cents per share and a promissory note in the aggregate principal amount of $360,000. The note will bear an interest rate of 12 per cent per annum, with the accrual period from February, 2027, to July, 2027. Additionally, the company has issued one million shares at a deemed price of 19 cents to PCC for its continuing services in the co-operation agreement and an additional one million share purchase warrants to Bennu for its continuing services in the co-operation agreement. Each warrant issued to Bennu will have an exercise price of 19 cents for a period of two years from the date of issuance.
