PASINEX RESOURCES ANNOUNCES A NON-BROKERED PRIVATE PLACEMENT
Pasinex Resources Ltd. has arranged a non-brokered private placement of common shares at a price of 7.5 cents per share, targeting aggregate gross proceeds of approximately $2.15-million.
To date, the company has already received investor commitments totalling approximately $500,000 toward the $2.15-million target.
The net proceeds from the private placement will primarily be used to complete the purchase of the Sarikaya mine property in Kayseri province, Turkey, as previously announced on Oct. 21, 2024. The offering will be made available to accredited investors and qualified purchasers in jurisdictions permitted by applicable securities laws, subject to a minimum subscription amount of $15,000. Although the financing will be non-brokered, the company may pay finders' fees to certain finders in accordance with the rules and policies of the Canadian Securities Exchange.
The offering is expected to close on or about July 31, 2025, subject to regulatory approvals and customary closing conditions. Shares issued under the offering will be subject to a statutory hold period of four months from the date of issuance in accordance with Canadian securities laws and any applicable securities laws in jurisdictions outside of Canada.
This offering follows the conversion by the principal Pasinex debtholders of $2,157,473 of their debt under the same terms as this offering at 7.5 cents per share.
