PLYMOUTH ROCK ANNOUNCES PRIVATE PLACEMENT FINANCING

Plymouth Rock Technologies Inc. has arranged a non-brokered private placement financing of up to 16,666,667 units of securities at a price of six cents per unit for aggregate gross proceeds of up to $1-million.

Each unit will comprise one common share and one fully transferable share purchase warrant, with each whole warrant entitling the holder to purchase one additional common share at a price of 10 cents for five years from closing of the offering. Finders' fees may be payable on a portion of the offering at the discretion of the company.

The net proceeds of the private placement will be used for working capital and business development.
