PLYMOUTH ROCK EXTENDS CLOSING OF PRIVATE PLACEMENT FINANCING

Plymouth Rock Technologies Inc. intends, subject to final exchange acceptance, to proceed with the non-brokered private placement financing of up to 16,666,667 units of securities at a price of six cents per unit for aggregate gross proceeds of up to $1-million announced on April 3, 2023. The company has extended the closing to on or before May 31, 2023.

The terms of each unit remain as announced and will comprise one common share and one fully transferable share purchase warrant, with each whole warrant entitling the holder to purchase one additional common share at a price of 10 cents for five years from closing of the offering. Finders' fees may be payable on a portion of the offering at the discretion of the company.

The net proceeds of the private placement will be used for commercialization of the company's technologies, working capital and debt settlement.
