The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced Aug. 17, 2018.

Number of shares:  1,352,168 shares

Purchase price:  70 U.S. cents; 74 U.S. cents; 75 U.S. cents; 80 U.S. cents per share

Warrants:  378,118 share purchase warrants to purchase 378,118 shares

Warrant exercise price:  94 U.S. cents for a period of two years (269,071 warrants); $1.50 (U.S.) for a period of two years (109,047 warrants)

Number of placees:  22 placees

Note that in certain circumstances, the exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.
