Conversion price:  Convertible into common share at 6.5 U.S. cents per share

Maturity date:  One year from the date of issuance

Interest rate:  13 per cent

Number of placees:  One placee

Finder's fee:  $4,000 (U.S.) is payable to GPI Valores SAC and 307,692 common shares are payable to Tomas Silva
