POND TECHNOLOGIES HOLDINGS INC. PROVIDES UPDATE ON TRANSACTION WITH FIND FAMILIAR SPIRITS

Pond Technologies Holdings Inc., further to its news release of Oct. 28, 2026, in which the company announced the signing of a binding letter of intent (LOI) to complete a reverse takeover transaction, whereby it will acquire Find Familiar Spirits LLC (FFS) pursuant to a business combination, the deadline to enter into a definitive agreement with respect to the proposed transaction has been extended to May 31, 2026, failing which the LOI may be terminated.

Cautionary note regarding the proposed transaction

Completion of the proposed transaction remains subject to a number of conditions, including execution of a definitive agreement, receipt of all required regulatory, shareholder and TSX Venture Exchange approvals, completion of a concurrent financing, and other customary closing conditions. There can be no assurance that the proposed transaction will be completed as proposed or at all.
