Pambili receives partial revocation of FFCTO

PAMBILI ANNOUNCES PARTIAL REVOCATION OF FAILURE TO FILE CEASE TRADE ORDER

The Alberta Securities Commission has issued an order dated May 6, 2026, partially revoking the failure-to-file cease trade order (FFCTO) issued against Pambili Natural Resources Corp. on July 3, 2025. A copy of the partial revocation order is available on SEDAR+.

The FFCTO was issued because the company was unable to file its audited annual financial statements, management discussion and analysis, and related chief executive officer and chief financial officer certifications for the year ended Dec. 31, 2024, by the April 30, 2025, deadline. The company was also unable to file its interim financial statements for the three months ended March 31, 2025, on time.

Pambili has made the required filings (see news release dated March 23, 2026) but has yet to complete the interim statements or the audited annual financial statements, management discussion and analysis, and related CEO and CFO certifications for the year ended Dec. 31, 2025, or the interim financial statements for the three months ended March 31, 2026.

The partial revocation order permits the company to issue a series of unsecured promissory notes up to an aggregate amount of $160,000. For each promissory note issued, the issuer will comply with the accredited investor prospectus exemption in Section 2.3 of National Instrument 45-106, Prospectus Exemptions.

The FFCTO continues to apply in all other respects.

Pambili expects that the financing will enable it to complete the interim statements and new filings and apply for a full revocation of the FFCTO. The proceeds of the financing will be allocated to the following budget.

Prior to completion of each promissory note, each lender will receive a copy of the FFCTO and the partial revocation order and will be required to provide a signed and dated acknowledgment to the company that all of the company's securities will remain subject to the FFCTO until such order is fully revoked and that the granting of the partial revocation order by the ASC does not guarantee the issuance of a full revocation order in the future.
