PAMBILI NATURAL RESOURCES ANNOUNCES SHARE CONSOLIDATION

At the opening of trading on Thursday, Nov. 23, 2023, the common shares of Pambili Natural Resources Corp. will be posted for trading on a consolidated basis.

In accordance with the previously announced share consolidation, shareholders of the company will be entitled to receive one postconsolidation common share of the corporation (new share), for every 10 preconsolidation common share of the company (old shares) currently held. After giving effect to the consolidation, the company will have approximately 25,953,445 postconsolidation common shares issued and outstanding. The trading symbol will remain PNN. The new CUSIP number will be 69764T206 and the new ISIN number will be CA69764T2065.

Letters of transmittal to be used to exchange share certificates representing old shares for share certificates representing new shares were mailed to registered shareholders on or about Nov. 22, 2023.

There will be no name change or trading symbol change in conjunction with the consolidation.

The consolidation was approved by the company's shareholders at the annual general and special meeting held on Dec. 28, 2022.
