Mr. Donald MacDonald reports

ProAm Explorations Corp. has appointed Rodney Stevens and Jason Cubitt as non-executive directors, effective April 12, 2024.

Mr. Stevens has worked in the mining securities industry, initially as an investment analyst with Salman Partners Inc., during which time he received recognition as a top-rated analyst for the metals and mining industry. Subsequently, he was a merchant banker with Peninsula Merchant Syndications Corp. and portfolio manager at Wolverton Securities Ltd.

Mr. Cubitt has held executive and non-executive board positions with both private and publicly traded companies on Canadian, U.S. and Australian exchanges. He was formerly focused on venture capital, primarily serving the natural resource sector. He co-founded Ascenta Asset Management and Vertus Investment Advisory, offshore investment advisory firms for which he was responsible for precious metals and special-situation mining funds.

The company welcomes Mr. Stevens and Mr. Cubitt and believes their participation will strengthen board independence and improve access to both high-value assets and venture capital.

The company has accepted the resignations from the board of W. Rex Davidson and Donald Ian MacDonald and thanks them for their contributions.
