The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced on June 1, 2023, and June 13, 2023.

Purchase price:  14.5 cents per share

Warrants:  11,457,276 share purchase warrants to purchase 11,457,276 shares

Warrant exercise price:  20 cents for a four-year period from the date of issuance, subject to an accelerated expiry

Number of placees:  68 placees

Total existing insider involvement:  119,484 common shares (two insiders)

Total pro group involvement:  785,000 common shares (six pro groups)

Finder's fee:  $60,081.31 and 414,354 warrants

Finder's warrant terms:  Each warrant entitles the holder to purchase one common share at the price of 20 cents for period of four years from the date of issuance.

Note that in certain circumstances the exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.
