CSE bulletin 2023-0921

Planet 13 Holdings Inc. intends to complete a plan of arrangement involving, among other things, the continuance of the issuer from the jurisdiction of the Business Corporations Act (British Columbia) and domestication under the Nevada Revised Statutes to the State of Nevada as set out in the issuer's proxy statement dated June 22, 2023. Pursuant to the plan of arrangement, each issued and outstanding common share in the authorized share structure of the issuer as a British Columbia corporation will for all purposes be deemed to be one issued and outstanding share of common stock with no par value of the issuer as a Nevada corporation upon and following the continuance.

The new Planet 13 Holdings shares will commence trading at market open on Sept. 18, 2023.
