The TSX Venture Exchange has accepted for filing documentation pertaining to an arm's-length purchase and sale agreement dated Feb. 18, 2025, between Parkit Enterprise Inc. and an arm's-length party, Pro REIT LP, a subsidiary of Pro Real Estate Investment Trust. Pursuant to the agreement, the purchaser acquired a portfolio of six real estate properties of the company, located in Winnipeg, Man.
As consideration for the properties, the aggregate consideration of $96.5-million, subject to certain adjustments, was paid by the purchaser to the company as follows: (i) $56,500,000 in cash; (ii) 2,675,000 of LP (limited partnership) units of the purchaser for deemed value of $16,585,000; and (iii) 3,776,613 of trust units of Pro REIT for deemed value of $23,415,000.
