The TSX Venture Exchange has accepted for filing the company's proposal to issue 5,725,000 shares to settle outstanding debt for $572,500.

Number of creditors:  two creditors

Total non-arm's-length-party involvement:  $572,500, 5,725,000 shares at 10 cents (two parties)

The company shall issue a news release when the shares are issued and the debt extinguished.
