The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced on Nov. 10, 2023, and Dec. 7, 2023.

Number of shares:  995,000 flow-through (FT) shares; 2,875,875 non-flow-through (NFT) shares

Purchase price:  20 cents per FT share; 16 cents per NFT share

Warrants:  995,000 share purchase warrants to purchase 995,000 shares attached to the FT shares; 2,875,875 share purchase warrants to purchase 2,875,875 shares attached to the NFT shares

Warrant exercise price:  28 cents for a two-year period (FT); 20 cents for a two-year period (NFT)

Number of placees:  45 placees

Total existing insider involvement:  18,750 (one insider)

Finder's fee:  $28,665 plus $7,350 administration fees and 163,931 warrants

Finder's warrant terms:  For 103,031 finders' warrants, each warrant entitles the holder to purchase one common share at the price of 20 cents per share warrant for a period of two years from the date of issuance. For 60,900 finders' warrants, each warrant entitles the holder to purchase one common share at the price of 28 cents per share warrant for a period of two years from the date of issuance.

The company issued a news release on Dec. 28, 2023, confirming the closing of the private placement. Note that in certain circumstances the exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.
