PEAK DISCOVERY PROPOSES PRIVATE PLACEMENT

Peak Discovery Capital Ltd. will be conducting a non-brokered private placement of up to 1,666,667 common shares at a price of 12 cents per share, raising gross proceeds of up to $200,000.

The shares will be subject to a hold period legend prohibiting resale for four months and one day from the date of their issuance. The terms of the offering are subject to the applicable securities laws and the acceptance of the TSX Venture Exchange. The company may pay finders' fees in connection with the offering to qualifying arm's-length finders, in accordance with the policies of the TSX-V.

The company entered into a non-binding letter of intent (LOI) with a potential vend-in party regarding a proposed reverse takeover (RTO) transaction, which was executed by both parties on Feb. 9, 2026. Under the LOI, the vend-in party would grant the company contractual rights to conduct exploration activities on a property for which it holds an exploration permit (EP) in the Philippines. The LOI was extended on March 26, 2026, and will cease to have force and effect if no definitive agreements are executed by May 30, 2026, or such later date as may be agreed by the parties. The proposed RTO remains subject to due diligence, execution of definitive agreements, regulatory approvals and other customary conditions. There can be no assurance that the proposed RTO will be completed as contemplated, or at all.

The net proceeds of the offering will be used to pursue business opportunities (including the above-mentioned RTO transaction) and for general working capital.
