COURT GRANTS FINAL ORDER TO PAYFARE APPROVING ARRANGEMENT WITH FISERV

The Supreme Court of British Columbia has issued a final order approving the previously announced plan of arrangement pursuant to which 1517452 B.C. Ltd., an affiliate of Fiserv Inc., will acquire all of the issued and outstanding Class A common shares of Payfare Inc.

Subject to the satisfaction or waiver of the remaining conditions to closing contained in the arrangement agreement entered into among the company, Fiserv and the purchaser dated Dec. 22, 2024, the arrangement is expected to close in the first quarter (Q1) of 2025.
