Subject: Press Release Attached for Distribution Word Document File: '\\swfile\EmailIn\20240129 172845 Attachment 2024-01-29-PATH-EW-PR-Alex.docx' News Release Early Warning Report Vancouver, BC, January 29, 2024 - Alexander McAulay (the "Acquiror"), Chief Executive Officer of Newpath Resources Inc., located at #220 - 333 Terminal Avenue, Vancouver BC, V6A 4C1 (the "Issuer"), announces that he has purchased and acquired ownership and control over 166,000 common shares of the Issuer (the "Shares") through the Canadian Securities Exchange (the "CSE") (the "Transaction"), which represents approximately 0.84% of the issued and outstanding Shares of the Issuer. Prior to the Transaction today, the Acquiror owned and controlled 249,000 Shares personally and 1,601,429 Shares indirectly through Treewalk Consulting Inc., a Company controlled by the Acquiror, for a total of 1,850,429 Shares of the Issuer representing approximately 9.31% of the Issuer's total issued and outstanding Shares. Following the Transaction, the Acquiror owns and controls 415,000 Shares personally and 1,601,429 Shares through Treewalk Consulting Inc., for a total of 2,016,429 Shares of the Issuer representing approximately 10.15% of the Issuer's total issued and outstanding Shares. The Acquiror purchased 66,000 Shares at a price of $0.085 per Share and 100,000 Shares for a price of $0.08 per Share for aggregate consideration of $13,610. The Shares were purchased for investment purposes and the Acquiror may, directly or indirectly, depending on market and other conditions, acquire beneficial ownership of, control or direction over, additional Shares or other securities of the Issuer, through market transactions, private agreements or otherwise. The Acquiror may, depending on market and other conditions, sell any or all of his securities in the Issuer.
