PARENT CAPITAL ANNOUNCES PROPOSED TRANSACTION WITH PRISM DIVERSIFIED LTD. NOT PROCEEDING

Parent Capital Corp. is not proceeding with a proposed business combination with Prism Diversified Ltd. The company previously announced on Nov. 28, 2025, that the parties had entered into a letter of intent dated Nov. 17, 2025. Following discussions, the parties were unable to proceed to a definitive agreement. The company will submit a request to the TSX Venture Exchange to remove the trading halt imposed in connection with the proposed transaction.

The company will continue to pursue and evaluate other opportunities for a potential acquisition.
