MICHAEL A. PARKER ACQUIRES SECURITIES OF PALISADES GOLDCORP LTD.

Michael A. Parker (the acquirer) has indirectly acquired ownership and control of 305,600 common shares (the subject shares) of Palisades Goldcorp Ltd. (the company or Nevada King), effective Feb. 26, 2024 (the acquisition).

The subject shares were acquired through the facilities of the TSX Venture Exchange and represent approximately 0.6 per cent of all issued and outstanding common shares of the company as of Feb. 26, 2024, resulting in a corresponding change to the aggregate percentage ownership of the company by the acquirer.

Immediately before the acquisition, the acquirer and his joint actors held an aggregate of 6,208,191 shares, representing approximately 12.9 per cent of the issued and outstanding shares, of which the acquirer held 78,960 shares representing less than 1 per cent of the issued and outstanding shares, and his joint actors held 6,129,231 shares representing approximately 12.8 per cent of the issued and outstanding shares. Immediately following the acquisition, the acquirer and his joint actors held 6,513,791 shares representing approximately 13.6 per cent of the issued and outstanding shares at Feb. 26, 2024, of which the acquirer held 78,960 shares representing less than 1 per cent of the issued and outstanding shares, and his joint actors held 6,434,831 shares representing approximately 13.4 per cent of the issued and outstanding shares immediately following the completion of the acquisition.

The subject shares were acquired through the facilities of the TSX Venture Exchange for a price of $1.59794 per share. The holdings of securities of the company by the acquirer are managed for investment purposes, and the acquirer and/or his joint actors could increase or decrease their respective investments in the company at any time, or continue to maintain their current investment position, depending on market conditions or any other relevant factor.
