MICHAEL A. PARKER ACQUIRES SECURITIES OF PALISADES GOLDCORP LTD.

Michael A. Parker (the acquirer) has indirectly acquired ownership and control of 2,016,034 common shares of Palisades Goldcorp Ltd., effective June 28, 2023.

The Subject Shares were acquired pursuant to a private transaction with a third party and represent approximately 4.2% of all issued and outstanding common shares of the Company ("Shares") as of June 28, 2023, resulting in a corresponding change to the aggregate percentage ownership of the Company by the Acquirer.

Immediately before the Acquisition, the Acquirer and his joint actors held an aggregate of 3,550,339 Shares, representing approximately 7.4% of the issued and outstanding Shares, of which the Acquirer held 78,960 Shares representing less than 1% of the issued and outstanding Shares, and his joint actors held 3,471,379 Shares representing approximately 7.2% of the issued and outstanding Shares.

Immediately following the Acquisition, the Acquirer and his joint actors held 5,566,373 Shares representing approximately 11.6% of the issued and outstanding Shares at June 28, 2023, of which the Acquirer held 78,960 Shares representing less than 1% of the issued and outstanding Shares, and his joint actors held 5,487,413 Shares representing approximately 11.4% of the issued and outstanding Shares immediately following the completion of the Acquisition.

The Subject Shares were acquired pursuant to a distribution for no additional consideration and not through the facilities of any stock exchange. The holdings of securities of the Company by the Acquirer are managed for investment purposes, and the Acquirer and/or his joint actors could increase or decrease their respective investments in the Company at any time, or continue to maintain their current investment position, depending on market conditions or any other relevant factor.
