REX RESOURCES ANNOUNCES APPROVAL FROM SUBSCRIPTION RECEIPT HOLDERS
Further to Rex Resources Corp.'s news release dated Sept. 3, 2026, 99.6 per cent of Bathurst Holdings Inc.'s voted subscription receipt holders approved an amendment to extend the closing deadline of the reverse takeover transaction to no later than March 31, 2027.
Certain directors and investors of Rex Resources and BHI's management recently completed a project site visit at the Stratmat and Halfmile projects in New Brunswick, Canada, and met with the local Pabineau First Nations and government officials.
Rex Resources and BHI look forward to advancing these projects and giving employment and economic opportunity to the residents of Bathurst, the province of New Brunswick and the Pabineau First Nations.
Craig Taylor, chief executive officer of Rex Resources, commented:

Rex Resources and BHI will diligently work together toward completing the RTO transaction and making all necessary submissions and filings in connection with the RTO transaction as soon as BHI receives approval from the government of New Brunswick to close the transactions contemplated under the asset purchase agreement (see the company's news release dated Sept. 3, 2026).
Trading in the company's common shares is presently halted and is not expected to resume trading until completion of the RTO transaction.
